1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PrimePlot ("Company," "we," "us," or "our"), governing your access to and use of the website located at primeplot.in and all associated services, applications, and platforms (collectively, the "Platform").
By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Platform.
These Terms are published in compliance with the Information Technology Act, 2000 and the rules thereunder, including the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, that require the publication of terms of use and privacy policy for access or usage of the Platform.
Your continued use of the Platform following the posting of any changes to these Terms shall constitute your acceptance of such changes.
2. Service Description
PrimePlot operates as an exclusive online marketplace and listing platform that connects premium buyers seeking verified, Vastu-compliant corner plots with verified sellers and landowners across select Indian cities, including Bangalore, Hyderabad, Lucknow, and Gurugram.
2.1 Nature of Services
The Platform provides the following services:
- Curated listing of premium corner plots verified for authenticity and compliance
- Vastu assessment and compliance information for listed properties
- Facilitation of introductions between prospective buyers and verified sellers
- Market intelligence, research, and advisory content related to premium real estate
- Assistance in scheduling site visits and property inspections
2.2 Disclaimer of Role
PrimePlot is not a builder, developer, real estate agent, or broker. We do not own, develop, construct, or hold title to any property listed on the Platform. PrimePlot acts solely as an intermediary marketplace facilitating connections between buyers and sellers. All transactions are ultimately between the buyer and the seller/landowner.
PrimePlot does not guarantee the completion of any transaction, nor does it provide any warranties regarding the physical condition, legal title, or market value of any listed property beyond the verification processes described on the Platform.
2.3 RERA Compliance
Where applicable, properties listed on the Platform shall comply with the provisions of the Real Estate (Regulation and Development) Act, 2016 ("RERA"). Users are advised to independently verify RERA registration status of listed properties with the respective State Real Estate Regulatory Authority before entering into any transaction.
3. User Eligibility
To access and use the Platform, you represent and warrant that:
- You are at least 18 years of age and are competent to enter into a contract as defined under Section 11 of the Indian Contract Act, 1872;
- You are a citizen or resident of India, or a Non-Resident Indian (NRI) eligible to purchase immovable property in India under the Foreign Exchange Management Act, 1999 and regulations thereunder;
- You possess a valid Permanent Account Number (PAN) and Aadhaar number, or such other identification as may be required for property transactions in India;
- You are accessing the Platform for genuine purposes related to the purchase, sale, or evaluation of premium corner plots;
- You are not disqualified from entering into contracts by any law to which you are subject.
If you are accessing the Platform on behalf of an entity (company, partnership, HUF, trust, or other legal entity), you represent that you have the authority to bind such entity to these Terms.
4. User Obligations
As a condition of your use of the Platform, you agree to the following obligations:
4.1 Accuracy of Information
- You shall provide accurate, current, and complete information when submitting enquiries, registering on the Platform, or communicating with us;
- You shall promptly update any information that becomes inaccurate or incomplete;
- You acknowledge that any misrepresentation may result in termination of access and potential legal action.
4.2 Prohibited Conduct
You shall not:
- Use the Platform for any unlawful purpose or in violation of any applicable local, state, national, or international law;
- Attempt to gain unauthorised access to the Platform, other user accounts, or computer systems connected to the Platform;
- Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure;
- Scrape, harvest, or collect data from the Platform through automated means without prior written consent;
- Post, transmit, or distribute content that is defamatory, obscene, fraudulent, or infringes the intellectual property rights of any third party;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Use the Platform to engage in money laundering, benami transactions, or any activity prohibited under the Prevention of Money Laundering Act, 2002, or the Benami Transactions (Prohibition) Amendment Act, 2016;
- Circumvent or attempt to circumvent any security measures implemented on the Platform.
4.3 Due Diligence
Users acknowledge the obligation to conduct independent due diligence before entering into any property transaction. This includes, but is not limited to, verification of title, encumbrance certificate, approved layout plans, RERA registration, and compliance with local municipal regulations.
5. Intellectual Property
All content, materials, features, and functionality on the Platform, including but not limited to text, graphics, logos, trademarks, service marks, images, photographs, audio, video, software, code, data compilations, and the overall design and layout of the Platform (collectively, "Content"), are the exclusive property of PrimePlot or its licensors and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and applicable international intellectual property conventions.
5.1 Limited Licence
Subject to your compliance with these Terms, PrimePlot grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes related to evaluating or purchasing premium corner plots.
5.2 Restrictions
You shall not:
- Reproduce, distribute, modify, create derivative works of, publicly display, or perform any Content without prior written consent;
- Use the PrimePlot name, logo, or any proprietary marks in any manner that suggests endorsement, sponsorship, or affiliation without express written permission;
- Reverse engineer, decompile, or disassemble any software or technology used in the Platform;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
6. Limitation of Liability
To the maximum extent permitted under applicable Indian law:
- The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- PrimePlot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Platform;
- PrimePlot's total aggregate liability for any claims arising from or related to these Terms or your use of the Platform shall not exceed the amount, if any, paid by you to PrimePlot in the twelve (12) months preceding the claim;
- PrimePlot shall not be liable for any loss or damage arising from any transaction between you and any third-party seller, landowner, or service provider introduced through the Platform;
- PrimePlot does not guarantee the accuracy, completeness, or timeliness of property listings, market data, Vastu assessments, or any other information published on the Platform.
Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited under applicable law.
7. Indemnification
You agree to indemnify, defend, and hold harmless PrimePlot, its directors, officers, employees, agents, affiliates, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:
- Your use of or access to the Platform;
- Your breach of any provision of these Terms;
- Your violation of any applicable law, regulation, or third-party rights;
- Any content or information you submit, post, or transmit through the Platform;
- Any property transaction entered into by you with any seller or third party introduced through the Platform;
- Any tax liability, registration charges, stamp duty, or other governmental levy arising from your transactions.
This indemnification obligation shall survive the termination of these Terms and your discontinuation of use of the Platform.
8. Dispute Resolution
8.1 Amicable Settlement
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform ("Dispute"), the parties shall first attempt to resolve the Dispute amicably through good-faith negotiations within thirty (30) days of written notice of the Dispute.
8.2 Arbitration
If the Dispute is not resolved through amicable settlement, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted as follows:
- The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties fail to agree on an arbitrator within fifteen (15) days, the appointment shall be made in accordance with the provisions of the Arbitration and Conciliation Act, 1996;
- The seat and venue of arbitration shall be Bengaluru, Karnataka, India;
- The language of arbitration shall be English;
- The arbitral award shall be final and binding on both parties.
8.3 Jurisdiction
Subject to the arbitration clause above, the courts of competent jurisdiction in Bengaluru, Karnataka, India shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms.
9. Governing Law
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. The following statutes, among others, shall apply to the extent relevant:
- The Indian Contract Act, 1872
- The Information Technology Act, 2000 and rules thereunder
- The Real Estate (Regulation and Development) Act, 2016
- The Consumer Protection Act, 2019
- The Transfer of Property Act, 1882
- The Registration Act, 1908
- The Indian Stamp Act, 1899 (or applicable State Stamp Acts)
- The Prevention of Money Laundering Act, 2002
10. Termination
10.1 Termination by PrimePlot
PrimePlot reserves the right to suspend or terminate your access to the Platform, in whole or in part, at any time and without prior notice, if:
- You breach any provision of these Terms;
- We are required to do so by law, regulation, or court order;
- We reasonably believe that your conduct may cause legal liability for you, other users, or PrimePlot;
- Your account has been inactive for a period exceeding twelve (12) months;
- We decide to discontinue the Platform or any part thereof.
10.2 Termination by User
You may discontinue your use of the Platform at any time. If you have a registered account, you may request account deletion by contacting us at the address provided in Section 12.
10.3 Effect of Termination
Upon termination, your right to access and use the Platform shall immediately cease. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 5 (Intellectual Property), 6 (Limitation of Liability), 7 (Indemnification), 8 (Dispute Resolution), and 9 (Governing Law).
11. Modifications to Terms
PrimePlot reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Any changes shall be effective immediately upon posting the revised Terms on the Platform with an updated "Last Updated" date.
We may, but are not obligated to, notify you of material changes through email, a prominent notice on the Platform, or other reasonable means. It is your responsibility to review these Terms periodically.
Your continued use of the Platform after such modifications constitutes your acceptance of the revised Terms. If you do not agree with any modification, your sole remedy is to discontinue use of the Platform.
